T.C.B. Construction Company, Inc. v. W. C. Fore Trucking, Inc.
The issue before the Supreme Court in this breach of contract case was whether the appellate court erred in affirming the trial court's refusal to submit an issue of punitive damages to the jury. Finding that the plaintiff presented clear and convincing evidence that the defendant exhibited bad faith in breaching the contract, the Supreme Court reversed the Court of Appeals and remanded the case back to the trial court for the jury to determine what punitive damages, if any, were due. Landers v. Fed. Deposit Ins. Corp.
The issue before the Supreme Court in this case concerned the scope of an arbitration clause under the Federal Arbitration Act (FAA). Respondent Christopher Landers served as Appellant Atlantic Bank & Trust's executive vice president pursuant to an employment contract. The contract contained a broad arbitration provision. Respondent alleged five causes of action, namely that he was constructively terminated from his employment as a result of Appellant Neal Arnold's tortious conduct towards him. Appellants moved to compel arbitration pursuant to the employment contract. The trial court found that only Respondent's breach of contract claim was subject to the arbitration provision, while his other four causes of action comprised of several tort and corporate claims were not within the scope of the arbitration clause. Upon review, the Supreme Court disagreed: "Landers' pleadings provide a clear nexus between his claims and the employment contract sufficient to establish a significant relationship to the employment agreement. We find the claims are within the scope of the agreement's broad arbitration provision." The Court reversed the trial court's order and held that all of Respondent's causes of action must be arbitrated.

Eagle Ridge Estates Homeowners Ass’n v. Anderson
Defendants owned three lots in the Eagle Crest subdivision adjacent to the Eagle Ridge Estates (Eagle Ridge) subdivision. Defendants' predecessor in title obtained a private access easement from the prior owners of Eagle Ridge, which allowed Defendants to access their property in Eagle Crest by way of roads running through Eagle Ridge. In exchange, the grantee of the easement agreed to pay an annual general road assessment for each lot. The Eagle Ridge Homeowners Association (Association) brought suit against Defendants for their failure to pay general assessments for three assessment years. Defendants argued that the Association only had authority to assess general road assessments against them and not general assessments. Ultimately, the trial court found in favor of the Association and awarded attorney fees, finding that the expenditures made by the Association were associated with roads. The Supreme Court affirmed on all issues with the exception of the Association's request for certain attorney fees because of contradictory findings and conclusions by the trial court. Remanded. Latson v. Plaza Home Mortgage, Inc.
Plaintiffs, Massachusetts residents, bought a three-dwelling in Massachusetts, financing the entire purchase price with two mortgage loans from Plaza Home Mortgage (Plaza). After the collapse of the housing market, Plaintiffs sued Plaza, alleging state common law and statutory violations in making the loans. The district court dismissed for failure to state a claim. The First Circuit Court of Appeals affirmed, holding (1) the district court correctly dismissed Plaintiffs' claim based on Plaza's alleged violation of the Massachusetts covenant of good faith and fair dealing; and (2) Plaintiffs' claim based on a violation of the Massachusetts consumer protection was correctly dismissed as time-barred. EnerSys Delaware v. Hopkins
From 2002 through 2004, George Harper and his law firm at that time, Jackson Lewis, represented EnerSys Delaware, Inc. in a variety of employment and labor law matters. Harper served as EnerSys' attorney of record in at least five employment-related lawsuits during this time. The relationship between Jackson Lewis and EnerSys deteriorated in 2004 when EnerSys brought a malpractice claim against the firm based on some labor-related legal advice that it claimed resulted in fraudulent testimony. In 2011, EnerSys filed this suit against a former EnerSys employee, Tammy Hopkins, alleging six causes of action including breach of contract based on violations of the confidentiality agreement and various computer use policies and agreements, breach of the duty of good faith and fair dealing, and breach of contract accompanied by a fraudulent act. When EnerSys learned that Hopkins had retained Harper to represent her, it moved to have him disqualified pursuant to Rule 1.9(a) of the Rules of Professional Conduct. The circuit court denied the motion, concluding that Harper's previous assistance in developing EnerSys' litigation strategy was insufficient grounds upon which to disqualify him due to the dissimilarities of his previous representations and the current suit. EnerSys then filed this appeal. This case presented the question of whether the denial of a motion to disqualify an attorney was immediately appealable. The Supreme Court held it was not and dismissed the case as interlocutory.

Baker v. Speaks
While a lawsuit by Appellees David and Elizabeth Speaks was pending against Rosemary and Byron Baker for damages related to poor construction workmanship, the Bakers transferred two parcels of real property to their son, Nathan Baker. The case resulted in a judgment against Byron but a dismissal of the claims against Rosemary. The appellate court affirmed the trial court's decision. Five days later, Nathan transferred the properties to a limited liability company (LLC) he and his family controlled. Appellees subsequently filed this case under the Uniform Fraudulent Conveyance Act and the Uniform Fraudulent Transfer Act. While the case was pending, the LLC transferred the two pieces of property to trusts controlled by Rosemary Baker. The district court granted summary judgment for Appellees permitting execution on the properties, finding that all of the conveyances were fraudulent. The Supreme Court reversed and remanded, holding (1) the district court correctly found the conveyances to be fraudulent; but (2) Appellees failed to make the required prima facie showing that the properties were subject to execution on a judgment against Byron Baker alone. Pagliara v. Johnston Barton Proctor & Rose, LLP
Pagliara, a licensed securities broker for more than 25 years, maintained a spotless record with the Financial Industry Regulatory Authority (FINRA) except for this case. Under a 2002 licensing agreement, Pagliara served both Capital Trust and NBC until 2008. During that time, Butler followed Pagliara’s recommendation to invest $100,000 in bank stocks that later lost value. Butler’s attorney threatened to sue NBC and Pagliara. NBC retained JBPR for defense. Unbeknownst to NBC and JBPR, Pagliara offered to settle the claim for $14,900, $100 below FINRA’s mandatory reporting threshold. Butler refused. Pagliara then informed NBC of his intent to defend the claim in FINRA Arbitration and objected to any settlement of the “frivolous claim.” NBC insisted that Pagliara not have any contact with Butler, based on the License Agreement signed by the parties, which stated that: “NBCS, at its sole option and without the prior approval of either [Capital Trust] or the applicable Representative, may settle or compromise any claim at any time.” JBPR finalized a $30,000 settlement without obtaining a release for Pagliara. Pagliara sued, alleging breach of fiduciary duty, violation of the Tennessee Consumer Protection Act, and intentional infliction of harm. The district court rejected the claims. Yellowbook Inc. v. Brandeberry
In 2002 Brandeberry sold his phonebook business, AMTEL, to White, who in turn sold the business to Yellowbook, a national publisher of yellow-pages directories. In 2009, Brandeberry started a rival phonebook under the AMTEL name. Yellowbook brought a trademark-infringement suit. The district court found that when Brandeberry initially purchased the rights to the AMTEL mark the rights were transferred to both him individually and his corporation; since the sale to White did not involve Brandeberry in an individual capacity, Brandeberry retained his individual rights, and White received only a non-exclusive right to use the mark. The Sixth Circuit reversed, holding that the contract transferred exclusive ownership of the mark and, even if it did not, Brandeberry’s rights were abandoned. The initial contract cannot be read to create joint ownership, and trademark law would not permit joint ownership under the facts in this case. View "Yellowbook Inc. v. Brandeberry" on Justia Law
Dittmer Properties v. FDIC, et al
Dittmer appealed the district court's dismissal under Federal Rule of Civil Procedure 12(b) of their two lawsuits against a failed bank, the FDIC as the bank's receiver, and the successor representative to the Estate of John Peters. Barkley is a Missouri general partnership with two equal partners, John Peters and Joe Dittmer. In the first of two eventual lawsuits arising out of a 2006 loan transaction to Barkley, Dittmer, representing Joe Dittmer's half interest in Barkley, sued Premier Bank, seeking declaratory judgment that the loan should be declared void as to Dittmer and sought to enjoin the bank from selling encumbered property. The suit was filed in Missouri state court, and the primary basis for Dittmer's complaint was that Peters did not have authority from his partner, Joe Dittmer, to mortgage Barkley property for this transaction. The second suit included the same claims as the first case but included various Dittmer successors as plaintiffs, and both the FDIC and the personal representative were added as defendants. The court found that under 12 U.S.C. 1821(j), the district court correctly dismissed Dittmer's claims for injunctive and declaratory relief; given the language of the Missouri Uniform Partnership Act, Mo. Rev. Stat. 358.090(1), the amended partnership agreement, and the power of attorney documents, the district court correctly dismissed the claim in the second suit against the FDIC; and the court agreed with the district court that the doctrine of res judicata required dismissal of the second suit. Barrett v. Gilbertson
Plaintiffs-Appellants Terence and Rachel Barrett appealed the dismissal of their claims against Defendant-Appellee Harry Gilbertson (dba Harry Gilbertson Construction) in a contract dispute. Plaintiffs argued that the trial court erred in dismissing their breach of contract claims related to the construction of their house, and that the court abused its discretion in denying their motion for attorney's fees. Upon review of the trial court record, the Supreme Court concluded that Plaintiffs failed to establish Defendant breached the terms of the construction contract or that the trial court did abused its discretion in denying the Plaintiffs' claim for attorney's fees.
