Believing that she would be inheriting half of her father’s estate, Deann Turcott and her husband spent considerable time and money making improvements on the father’s land. However, the father subsequently changed his will and left Deann nothing. Deann filed suit seeking quantum meruit damages for the work she had performed. The district court held that quantum meruit damages were not appropriate and awarded damages under a theory of unjust enrichment. Deann appealed the district court’s award of unjust enrichment damages as inadequate. Finding no reversible error in the district court’s judgment, the Idaho Supreme Court affirmed. View "Turcott v. The Supreme Court affirmed as modified the judgment of the district court finding that Defendant owed Plaintiff $1,214,056 in unpaid profits and that Plaintiff was entitled to prejudgment interest in the amount of $97,582 pursuant to Neb. Rev. Stat. 45-104, holding that there was no error in applying section 45-104 to award prejudgment interest to Plaintiff but that there was an error in calculating prejudgment interest.Ten years after the parties agreed to farm together and share net profits equally Plaintiff brought this action. The district court awarded unpaid profits and prejudgment interest after a bench trial. On appeal, Defendant argued that the trial court erred in awarding prejudgment interest under section 45-104 without also finding that Plaintiff's claim was liquidated under Neb. Rev. Stat. 45-103.02(2). The Supreme Court modified the amount of prejudgment interest to $460,210, holding (1) section 45-103.02 and section 45-104 provide separate and independent means of recovering prejudgment interest in Nebraska, and when a claim is of the type enumerated in section 45-104, then prejudgment interest may be recovered without regard to whether the claim is liquidated; and (2) prejudgment interest was properly awarded pursuant to section 45-104 in this case, but it was incorrectly calculated. Louisiana Hospice Corporation, otherwise known as LHC, sought to acquire Gulf Coast Hospice LLC in D’Iberville, Mississippi. LHC and Gulf Coast Hospice executed a letter of intent outlining the basic terms of the proposed acquisition. Ultimately, the parties failed to consummate the transaction. Gulf Coast Hospice LLC and its members, Jyoti Desai, Krupa Desai, and Iqbal Savani sued LHC Group Inc., LHCG XXVI LLC, and Mississippi Health Care Group LLC, raising several theories of liability stemming from the failed acquisition. The trial court granted LHC’s motion for summary judgment and dismissed Gulf Coast Hospice’s claims. Gulf Coast Hospice appealed, arguing that genuine issues of material fact should have prevented summary judgment. Gulf Coast Hospice’s chief argument was that LHC entered into an enforceable contract to acquire its hospice operations. Alternatively, Gulf Coast Hospice argued that if no enforceable contract to purchase existed, its claims for breach of contract and duty of good faith with respect to the letter of intent and tortious interference should have survived summary judgment. The Mississippi Supreme Court held there was no enforceable contract, that the doctrine of estoppel was inapplicable, and that no genuine issue of material fact existed regarding Gulf Coast Hospice’s misrepresentation claims. At issue in this case before the Mississippi Supreme Court was a dispute between an automobile manufacturer and one of its dealerships. Specifically, the issue reduced to whether the dealer filed a timely complaint under Mississippi Code section 63-17-73(1)(d)(iii) after the dealer received the manufacturer’s notice it would terminate the applicable dealership agreement. The Court determined the statute was unambiguous, and its plain meaning provided a dealer may file its verified complaint within the sixty day notice period, i.e., the sixty days preceding the effective date of termination. Because the statute was unambiguous and conveyed a clear and definite meaning, the Court did not resort to the rules of statutory construction. The Supreme Court affirmed the judgment of the trial court in this contract action, holding that any failure by landlords to strictly comply with any contractual notice provisions when declaring a lease in default is excused when the allegedly defaulting party receives actual notice of the default despite noncompliance.Treasure Island, LLC and its prime tenant, Rose, LLC, entered into a lease for space inside of Treasure Island's hotel/casino that was subleased to Señor Frog's and used to operate a restaurant. Treasure Island declared the lease in default when Rose failed to make timely rent payments. Thereafter, Treasure Island sued Rose alleging breach of the lease agreement and seeking declaratory relief. Rose counterclaimed, alleging breach of contract and seeking declaratory relief, arguing (1) the district court erred in declaring the lease terminated because Treasure Island failed to give proper notice of the default, and (2) the judgment was void because Señor Frog's was a necessary party and was not joined in the action in violation of Nev. R. Civ. P. 19. The trial court entered judgment for Treasure Island. The Supreme Court affirmed, holding (1) Rose suffered no prejudice because it received actual notice of the default; and (2) Señor Frog's was not a necessary party to the litigation. In April 2007, Sun Life Assurance Company of Canada received an application for a $5 million insurance policy on the life of Nancy Bergman. The application listed a trust as the sole owner and beneficiary of the policy. Bergman’s grandson signed as trustee; the other members of the trust were all investors, and all strangers to Bergman. The investors paid most if not all of the policy’s premiums. Sun Life issued the policy. About five weeks after the policy was issued, the grandson resigned as trustee and appointed the investors as successor co-trustees. The trust agreement was amended so that most of the policy’s benefits would go to the investors, who were also empowered to sell the policy. More than two years later, the trust sold the policy and the investors received nearly all of the proceeds from the sale. Wells Fargo Bank, N.A. eventually obtained the policy in a bankruptcy settlement and continued to pay the premiums. After Bergman passed away in 2014, Wells Fargo sought to collect the policy’s death benefit. Sun Life investigated the claim, uncovered discrepancies, and declined to pay. Instead, Sun Life sought a declaratory judgment that the policy was void ab initio, or from the beginning. Wells Fargo counterclaimed for breach of contract and sought the policy’s $5 million face value; if the court voided the policy, Wells Fargo sought a refund of the premiums it paid. The United States District Court for the District of New Jersey partially granted Sun Life’s motion for summary judgment, finding New Jersey law applied and concluded “that this was a STOLI [(stranger-originated life insurance)] transaction lacking insurable interest in violation of [the State’s] public policy. . . . As such, it should be declared void ab initio.” The court also granted Wells Fargo’s motion to recover its premium payments, reasoning that “Wells Fargo is not to blame for the fraud here” and that “[a]llowing Sun Life to retain the premiums would be a windfall to the company.” Both parties appealed. Finding no dispositive New Jersey case law, the United States Court of Appeals for the Third Circuit certified two questions of law to the New Jersey Supreme Court regarding the Sun Life policy. In response to the certified questions, the Supreme Court found that STOLI policies were against public policy and void ab initio. At issue were claims of fraudulent sales practices by two car dealerships that allegedly induced consumers to enter into agreements for the purchase of cars. The question presented for the New Jersey Supreme Court’s review was whether plaintiffs could avoid being compelled to arbitrate those claims. Plaintiffs challenged the formation and validity of their sales agreements on the bases that the dealerships’ fraudulent practices and misrepresentations induced them to sign the transactional documents and that the agreements were invalid due to violations of statutory consumer fraud requirements. As part of the overall set of documents, plaintiffs signed arbitration agreements. Those agreements contained straightforward and conspicuous language that broadly delegated arbitrability issues. Each trial court determined the arbitration agreements to be enforceable and entered orders compelling plaintiffs to litigate their various claims challenging the overall validity of the sales contracts in the arbitral forum. The Appellate Division reversed those orders. The Supreme Court reversed: “the trial courts’ resolution of these matters was correct and consistent with clear rulings from the United States Supreme Court that bind state and federal courts on how challenges such as plaintiffs’ should proceed. Those rulings do not permit threshold issues about overall contract validity to be resolved by the courts when the arbitration agreement itself is not specifically challenged. Here, plaintiffs attack the sales contracts in their entirety, not the language or clarity of the agreements to arbitrate or the broad delegation clauses contained in those signed arbitration agreements.” View "Goffe v. A general contractor was covered as an additional insured on a commercial general liability (CGL) policy issued to its roofing subcontractor. The insurer refused to defend the general contractor after it was sued by homeowners for construction defects concerning roofing, prompting this lawsuit. After a bench trial, the trial court concluded the insurer owed no duty to defend. It believed the exclusion in the additional insured endorsement for damage to "property in the care, custody or control of the additional insured" precluded any duty to defend the general contractor in construction defect litigation. The general contractor disputed the insurer's interpretation of the policy and contended there was a duty to defend. After review, the Court of Appeal agreed and reversed judgment: “the facts indicate only shared control between the general contractor and its roofing subcontractor. Because the insurer did not prove coverage for the underlying construction defect litigation was impossible, it owed the general contractor a duty to defend the homeowner claim.” View "McMillin Homes Construction v. The Supreme Court reversed the order of the district court denying Plaintiffs' motion for summary judgment in this case alleging a violation of Article 9A of Montana's adopted version of the Uniform Commercial Code (UCC), holding that the district court erred when it concluded that Article 9 no longer applied to the agreement between the parties.Plaintiffs and Defendants entered into an installment sale contract and security agreement to buy a mobile home. When Plaintiffs continually missed payments on the mobile home Defendants sent a notice of default and then demanded the outstanding balance on the agreement. Plaintiffs moved out of the mobile home and voluntarily returned it to Defendants. After Defendants sold the mobile home to a new buyer Plaintiffs brought suit alleging that Defendants violated provision of Article 9A. The district court denied Plaintiffs' motion for summary judgment and entered judgment in favor of Defendants. The Supreme Court reversed, holding that there were no genuine issues of material fact as to Defendants' UCC violations, and Plaintiffs were entitled to judgment as a matter of law on that issue. The Supreme Court affirmed the judgment of the trial court dismissing Plaintiff's claims against Indiana-resident defendants without prejudice, holding that the trial court erred in basing its dismissal on lack of personal jurisdiction but that dismissal was nevertheless warranted on the record.The parties in this case entered into an independent contractor agreement that contained a forum-selection clause providing that the parties agreed to litigate their disputes in Texas. Plaintiff later brought suit in an Indiana circuit court alleging breach of contract and fraudulent inducement. Defendants moved to dismiss under Trial Rule 12(B)(2). The court court dismissed the complaint without prejudice, concluding that the Indiana trial court lacked personal jurisdiction over the Indiana-resident defendants because the parties agreed to litigate their dispute in Texas. The Supreme Court affirmed but on different grounds, holding (1) the forum-selection clause was mandatory and unambiguous in requiring that suit be brought in Texas; and (2) Plaintiff failed to satisfy its burden of showing that the clause was invalid.
