Baldwin Mutual Insurance Company v. Adair et al.
In 2010, Baldwin Mutual Insurance Company (BMIC) filed an "Application for Temporary Restraining Order, Motion for a Preliminary Injunction and Complaint for Declaratory Judgment" against 122 individuals who were insured under various insurance policies issued by BMIC. According to the complaint, the insureds, through their legal counsel, had sent a letter requesting BMIC provide copies of the policy file for each of the insureds, and the letter accused BMIC of "bad faith" as to its treatment of the insureds. According to BMIC's complaint, the various insurance policies at issue provided that BMIC or an insured could invoke an appraisal process if BMIC and the insured could not reach an agreement as to the amount of compensation due the insured for a loss covered under the insured's policy. BMIC asked that the restraining order "enjoin[] the [insureds] from engaging in the appraisal process and stay[] the time in which [BMIC] has to identify an appraiser or otherwise participate in said process." Also, BMIC asserted that "it will be caused immediate and irreparable injury, loss or damage should it be required to engage in the appraisal process demanded prior to determining whether [the insureds] separately and severally are entitled to invoke the appraisal process." BMIC appealed the Circuit Court's order modifying a previous order granting BMIC injunctive relief. Based on its review of the record, the Supreme Court concluded the circuit court erred by ordering BMIC to engage in the appraisal process before the insureds satisfied their respective post-loss obligations and before BMIC had sufficient information on which it could decide whether it disagreed with the respective claims of the insureds. Accordingly, the Court reversed the circuit court and remanded this matter for further proceedings.

Maeker v. Ross
In this case, Beverly Maeker and William Ross, although unmarried to each other, lived together and shared a marital-like relationship from 1999 to 2011. In the course of that relationship, Maeker alleged she gave up a career and devoted herself to Ross, who promised to support her in the future. In short, Maeker claimed that the two entered into a palimony agreement. In 2011, their relationship dissolved, and Maeker filed an action to enforce Ross's promise to provide financial support. Ross argued that the alleged agreement was not reduced to writing and could not be enforced under the 2010 Amendment to the Statute of Frauds. The trial court rejected Ross's argument, concluding that the Legislature intended the 2010 Amendment to be prospectively applied. The Appellate Division reversed and dismissed Maeker's complaint, holding that the Legislature intended that any palimony agreement as of 2010 had to be in writing and that oral agreements predating the Amendment were no longer enforceable. Upon review of the matter, the Supreme Court disagreed with the Appellate Division, finding that the Legislature did not intend the 2010 Amendment to apply retroactively to oral agreements that predated the Amendment. "In amending the Statute of Frauds, the Legislature was aware that historically the Statute has been construed -- absent a legislative expression to the contrary -- not to reach back to rescind preexisting, lawfully enforceable oral agreements. The Legislature has given no indication that it intended to depart from the traditional prospective application of a change to the Statute." Accordingly, the Appellate Division was reversed and Maeker’s complaint reinstated.

Dekalb County Sch. Dist. v. Butler
Appellee Yvonne Butler was a principal at a DeKalb County elementary school. Appellant DeKalb County School District notified appellee it would be terminating her employment for: (1) incompetency; (2) insubordination; (3) wilful neglect of duties; and (4)for other good and sufficient cause. Appellee was placed on suspension while the charges were pending. A hearing was scheduled pursuant to the Fair Dismissal Act (FDA), but the parties agreed to a continuance. The record revealed the hearing never took place. Appellant offered appellee, in lieu of termination, a contract for a classroom teaching position for the 2011- 2012 school year and required that she sign and return the contract before May 19, 2011, if she chose to accept the offer. On May 31, 2011, appellee responded to the May 11 letter by asserting that she had a right to an FDA hearing. In her May 31 response, appellee never indicated she would be accepting the offered position of classroom teacher. On June 30, 2011, upon hiring new counsel, appellee returned the signed teaching contract "under protest." In July, appellant issued appellee a separation notice indicating appellee’s employment had ended as of June 30, 2011. The following March, appellee filed this mandamus action, requesting an FDA hearing, a name-clearing hearing, and damages for breach of an implied covenant of good faith and fair dealing in regard to the proffered 2011-2012 teaching contract. Both parties moved for summary judgment and the trial court granted and denied in part both parties’ motions: the decision effectively granted appellee’s petition for a writ of mandamus and held that appellee was entitled to an FDA hearing because she was a tenured employee and had been demoted from an administrator to a teacher. In addition, the trial court held that the request for a separate name-clearing hearing was moot as appellee could clear her name at the FDA hearing. Finally, the trial court denied appellee’s claim of damages for breach because it found that appellee had not timely accepted the contract to be a classroom teacher for the 2011-2012 school year. Upon review, the Supreme Court found that since appellee had earned tenure as a teacher, at the time of her suspension from the position as principal in 2010, the only right she had under the FDA was continued employment as a teacher. Therefore, the School District complied with the FDA when it offered appellee a teaching position for the 2011-2012 school year rather than insisting upon her termination. At that point, the FDA did not require any additional action by appellant. Thus, it was error for the trial court to conclude that appellant was required to hold a demotion hearing pursuant to the FDA in addition to offering appellee continued employment as a teacher. The Supreme Court affirmed the Superior Court in all other respects.

Taylor, et al. v. City of Gadsden, et al.
Plaintiffs, a class of firefighters whose pension contribution rate was raised from 6% to 8.5%, filed suit alleging that the City's actions impaired the terms of their employment contracts in violation of the United States Constitution and the Alabama Constitution. The district court dismissed the complaint for failure to demonstrate that any contractual right had been impaired. The court concluded that plaintiffs have no basis upon which to challenge a violation of the Contract Clause where, without passing any law, the City, at bottom, was doing nothing different from what a private party does. The City was free to amend the employee contribution rate without constitutional consequence. Even assuming the existence of a contractual provision not to raise the employee contribution rate, plaintiffs still cannot succeed on their Contract Clause challenge because, at most, the City has breached a contract, not impaired one. Delaney v. Bank of America Corp.
Plaintiff appealed the district court's grant of summary judgment in favor of his former employers, BoA, on his claim of age discrimination under the Age Discrimination in Employment Act of 1967 (ADEA), 29 U.S.C. 621 et seq., and breach of contract. Under the McDonald Douglas Corp v. Green framework, assuming arguendo that plaintiff met his burden of demonstrating a prima facie case of age discrimination, the court agreed with the district court that BoA has satisfied its burden to articulate a legitimate, nondiscriminatory reason for plaintiff's termination. BoA has explained that plaintiff's employment was terminated as part of a company-wide reduction in force; two months prior to his termination, plaintiff received a negative mid-year performance review; and as of September 2010, plaintiff was ranked 136th across all BoA sales personnel for the year and his performance was the worse of all employees in his group. In regards to the breach of contract claim, the district court correctly determined that plaintiff was an at-will employee and that although annual bonuses were discretionary, there is no record evidence, or even an allegation, indicating that plaintiff was promised a mid-year bonus. Healey v. Dennehy
Jeffrey Healey and Edward Given, residents of the Massachusetts Treatment Center, were each civilly committed as a sexually dangerous person. Plaintiffs brought separate suits, which were later consolidated, challenging the conditions of their confinement and the adequacy of their sexual offender treatment. Plaintiffs sought equitable relief against the Massachusetts Department of Corrections and other state officials (collectively, the DOC). Both plaintiffs alleged violations of the Constitution and state statutory provisions, and Healey alleged that the DOC was not in compliance with the terms of a management plan (Plan) for the Center developed by the DOC during the course of prior litigation. The district court granted Plaintiffs declaratory and injunctive relief on some claims and entered judgment in favor of the DOC on the remaining claims. The First Circuit (1) reversed the declaratory judgment in favor of Healey on his contempt claim as well as injunctive relief compelling the Commonwealth’s compliance with the Plan’s provisions; and (2) affirmed the district court’s judgment in favor of Defendants in all respects with the exception of the judgment for Plaintiffs regarding the constitutionality of the pharmacological evaluation and treatment provided by Defendants, as that portion of the judgment was not challenged on appeal.View "Healey v. Williams v. GEICO
Delores Williams, the personal representative of the Estate of Edward Murry, and Matthew Whitaker, Jr., the personal representative of the Estate of Annie Mae Murry (PRs), brought a declaratory judgment action to determine whether a GEICO motor vehicle insurance policy issued to the Murrys provided $15,000 or $100,000 in liability proceeds for bodily injury for an accident in which both of the Murrys were killed. The circuit court concluded coverage was limited to the statutory minimum of $15,000 based on a family step-down provision in the policy that reduced coverage for bodily injury to family members from the stated policy coverage of $100,000 to the statutory minimum amount mandated by South Carolina law during the policy period. The PRs appealed, contending the step-down provision was ambiguous and/or violative of public policy. The Supreme Court affirmed in part and reversed in part. The Court agreed with the circuit court that GEICO's policy is not ambiguous, but concluded the family step-down provision, which reduced the coverage under the liability policy from the stated policy amount to the statutory minimum, was violative of public policy and was, therefore, void. "The provision not only conflicte[d] with the mandates set forth in section 38-77-142, but its enforcement would be injurious to the public welfare."

LK Operating, LLC v. Collection Grp., LLC
In this case and its companion, LK Operating, LLC v. Collection Grp., LLC, (No. 88846-9) (Wash. July 31, 2014), the central issues on appeal arose from a joint venture agreement regarding a debt collection business. The debt collection business operated according to the terms of the joint venture agreement, as originally proposed, from approximately winter 2005 through summer 2007. This opinion addressed whether the trial court proceedings complied with due process requirements; whether, as a matter of law, the joint venture proposal was entered by an attorney in violation of one or both of former RPCs 1.7 (1995) and 1.8(a) (2000); and, if so, whether the remedy imposed by the trial court and affirmed on appeal is appropriate. The Supreme Court found: (1) the trial court proceedings satisfied the requirements of procedural due process; (2) though on different reasoning from that used by the Court of Appeals, that the undisputed facts established as a matter of law that the joint venture proposal contemplated a business transaction subject to, agreed to, and entered into in violation of former RPC 1.8(a). The Court affirmed that the former RPC 1.8(a) violation rendered the terms of the business transaction unenforceable under the circumstances presented and the remedy imposed was appropriate. Furthermore, the Court affirmed that the business transaction was entered in violation of former RPC 1. 7. The Court declined to determine whether the former RPC 1.7 violation would have also justified the remedy imposed.

Gotterba v. Travolta
Plaintiff filed suit against John Travolta, Atlo, and others (collectively, "Atlo"), seeking a declaration as to whether a three-page agreement or a four-page agreement was the enforceable termination agreement between the parties, and whether a confidentiality provision, if one exists, is enforceable. Atlo filed an anti-strategic lawsuit against public participation (anti-SLAPP) motion to strike the first amended complaint under Code Civ. Proc., 425.16. The court held that a declaratory relief action filed in response to an attorney's letters threatening litigation over the contract dispute does not come within the provisions of an anti-SLAPP lawsuit where the lawsuit sought a declaration regarding the terms of plaintiff's termination agreement, not whether Atlo may send demand letters or threaten litigation. Accordingly, the court concluded that the trial court properly denied the motion to strike the complaint and affirmed the judgment of the trial court.View "Gotterba v. Travolta" on Justia Law
Christiansen v. County of Douglas
Beginning in 1974, Douglas County’s retired employees paid the same amount as active employees for health insurance coverage. In 2009, the County Board of Commissioners adopted a resolution that charged retirees premiums that were higher than the rate paid by active employees. Shortly before the change was to take effect, retired employees of the County (Plaintiffs) sued the County. The district court entered judgment in favor of Plaintiffs, concluding that equitable estoppel prohibited the County from increasing the premiums to be paid by the retirees above those paid by active employees. The Supreme Court reversed, holding that because the retirees had no contractual right to pay the same premiums as active employees, the district court erred in using equitable estoppel to create such a contractual obligation.
